Evolution's H1 2026 interim report, published Friday 17 July, effectively announced the death of the Galaxy Gaming acquisition. CEO Martin Carlesund said in the letter that the closing period had expired that day, that "either party may choose to terminate the agreement", og that "the outcome has no material impact on our existing business". What actually happened
Evolution announced the Galaxy Gaming acquisition on 18 July 2024 - all outstanding shares at USD 3.20 in cash for approximately USD 85 million equity value, USD 124 million including net debt, per iGaming Business's original coverage. Deal was expected to close mid-2025. It did not. The two companies extended the outside date once, to 17 July 2026, per the November 2025 press release.
On 17 July 2026, Evolution's H1 interim report made Carlesund's position clear. Regulatory approvals were the blocker - Mississippi cleared in November 2025 but other jurisdictions did not. EGR Intel read the letter as Evolution hinting it may walk away. Nevada was widely reported as the sticking point.
Why it matters that Evolution is not consolidating
Evolution is the dominant live dealer supplier globally - Crazy Time, Monopoly Levende, Lightning Roulette, the entire game show category. Galaxy Gaming is a proprietary table games specialist - Lucky Ladies, 21+3, Bonus Craps. Buying Galaxy was Evolution's move to control the licensed table games IP that sits alongside its own live studio content in US regulated markets.
If Evolution walks away, the message is that even the category leader cannot easily consolidate across jurisdictional approvals. Nevada, New Jersey, Michigan, Pennsylvania, Mississippi and every tribal jurisdiction each have their own vetting process. Two years and unlimited legal budget were not enough. That is not a signal that Evolution is weak - it is a signal that the category is structurally fragmented, og that fragmentation is a moat for new entrants who slot into the existing distribution rails rather than trying to buy the rails.
The lesson for CCTV games
The Indsats Engine piece from June covered the distribution model: build the game once, publish through the operator's certified rails. The 155.io M&A cycle piece from earlier this month noted that acquirers in 2025 to 2026 have been paying premiums for content studios, not for distribution. Galaxy is an interesting counterpoint - the acquirer wanted the content and could not close because of the distribution jurisdictions the content already sat in.
Three implications for the CCTV games category. First, staying operator-published is a feature. The studio is not on the certification hook the way a supplier acquiring another supplier would be.
Second, category novelty travels through operator rails faster than jurisdiction-specific IP. Galaxy's IP had value only in specific licensed markets. A category as novel as CCTV games has no jurisdiction-specific baggage - it is a new format, certified where the operator is certified.
Third, keep the studio small. Evolution's problem was that Galaxy came with entities, employees and licences that each had to be approved. What to watch this week
Whether Evolution formally terminates, extends again, eller waives the gaming approval condition. Galaxy's investor relations side said on 14 July it will not comment beyond disclosed information. Either party can terminate now. If Evolution terminates, Galaxy shares are likely to reprice sharply and other suppliers may look at Galaxy at a lower valuation.
